fianlly I made it... for Windows it's important to be on the first HD... in my case it was on the second...

the correct menu.lst file is now:

kernel /boot/vmlinuz root=/dev/hdb1 ro ramdisk_size=100000 lang=de apm=power-off nomce vga=791
initrd /boot/initrd.img
savedefault
boot

title Windows XP
map (hd1) (hd0)
rootnoverify (hd1,0)
makeactive
chainloader +1
boot



Maybe a closer look to

http://www.gnu.org/software/grub/manual/grub.html

before, would have saved lots of time.
